Licensing, Mergers and Acquisitions Strategies

For most if not all of the competitors in the life science marketplace, there will always be a need to complement the internal product/technology platform strategy with externally sourced product/technology assets…either through fee for service arrangements, partnerships, alliances or acquisition.

The Frankel Group has supported large as well as small clients in assessing their Business Development opportunities and options. In addition, the TFG senior management is also actively involved in venture capital asset management…offering synergies with the LM&A practice. This aspect of our business model enables us to be continuously exposed to the latest technological developments across a wide range of therapeutic areas (including novel devices and diagnostics) as well as robust analytic methodologies that may prove useful in a LM&A initiative. The result is the provision of advisory recommendations and the product/company and capital assets necessary to realize the recommendations.

More specifically, a Licensing, Merger, and Acquisition Strategic project may include any or all of the following components:

Market Opportunity Assessment
Our approach to a robust, market-driven opportunity assessment is grounded in a detailed understanding of the drivers of success from a technology, delivery of care, physician and patient, and competitive perspective…with a deep appreciation of the need to have a forward looking perspective.

Investment Due Diligence
Essentially a Market Opportunity Assessment conducted from the venture capitalist or other prospective investor’s point of view. The key difference lies in the additional factors that must be considered such as target company corporate management experience, expertise, resource gaps, exit options and overall valuation vs. risk assessment.

Partnering Options Analysis
Depending on the strategic and tactical needs of the client, we well perform due diligence on prospective partners, looking at the rationale for partnering, incentive alignments, deal structure, and deal sourcing, negotiation and closure with our transaction capabilities.

Value Proposition Optimization
We assess and characterize the range of hard (e.g. products) and soft (e.g. services, relationships, processes) assets that drive competitive advantage and ultimately roll up into the value proposition of a company to its target stakeholders.
